1. Acceptance of These Terms

By accessing, connecting to or using D.A.R.C.E.Y, you agree to these Terms of Use. If you do not agree to these terms, you should not use or authorise D.A.R.C.E.Y to access your accounts, systems or business information.

2. Licence to Use D.A.R.C.E.Y

Subject to these terms, Perimeter Fencing and Gates Limited grants authorised users a limited, non-exclusive, non-transferable and revocable licence to use D.A.R.C.E.Y for lawful business and administrative purposes.

3. Connected Accounts and Services

D.A.R.C.E.Y may connect to third-party services where authorised by the user. These may include email providers, calendars, accounting platforms and other business systems.

• Google services: including Gmail and Google Calendar where permission has been granted.
• Email providers: including authorised IMAP and SMTP business mailboxes.
• QuickBooks Online: including authorised accounting information made available through Intuit APIs.
• Other integrations: additional services may be added in future where the user expressly authorises access.

Use of a third-party service remains subject to that provider's own terms, policies and availability.

4. QuickBooks and Accounting Information

Where D.A.R.C.E.Y is connected to QuickBooks Online, the system may access accounting information authorised by the QuickBooks account holder.

5. User Authorisation and Confirmation

Certain D.A.R.C.E.Y functions may perform actions on connected systems. Where an action could materially affect communications, schedules, financial records or other business information, D.A.R.C.E.Y may require confirmation before executing it.

• Sending an email may require confirmation before sending.
• Creating, changing or deleting calendar events may require confirmation.
• Future accounting or financial write-actions may require additional confirmation.
• Users must review proposed actions and information before confirming them.

6. User Responsibilities

Users are responsible for ensuring that they have permission to connect accounts, access data and instruct D.A.R.C.E.Y to carry out actions on their behalf.

• Keep account credentials and authentication information secure.
• Do not use D.A.R.C.E.Y for unlawful, fraudulent or abusive purposes.
• Review important information before relying on it.
• Check consequential actions before confirming execution.
• Ensure connected systems and third-party accounts are used in accordance with their applicable terms.

7. AI-Generated Information

D.A.R.C.E.Y uses artificial intelligence to interpret requests, summarise information and assist with business operations. AI-generated information can occasionally be incomplete, outdated or incorrect.

Users should independently verify information where accuracy is important, particularly before making financial, contractual, legal, safety-critical or other significant business decisions.

8. Data and Privacy

Personal information processed through D.A.R.C.E.Y is handled in accordance with our Privacy Policy.

Connected account credentials, tokens and locally stored information may be protected using technical security measures appropriate to the system and operating environment.

Users may revoke access to connected third-party services using the relevant provider's account controls.

9. Intellectual Property

D.A.R.C.E.Y, its software, interfaces, workflows, branding and associated materials are protected by applicable intellectual property laws.

Nothing in these terms transfers ownership of D.A.R.C.E.Y or its underlying technology to the user.

10. Availability and Third-Party Services

We do not guarantee uninterrupted availability of D.A.R.C.E.Y. Features may depend upon internet connectivity, hardware, operating systems, APIs and third-party services outside our direct control.

We are not responsible for outages, restrictions, changes or failures caused by third-party service providers.

11. Limitation of Liability

To the fullest extent permitted by law, Perimeter Fencing and Gates Limited will not be liable for indirect, incidental, consequential or special losses arising from reliance on D.A.R.C.E.Y, interruption of connected services, user error or inaccurate AI-generated information.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

12. Suspension and Termination

Access to D.A.R.C.E.Y may be suspended or terminated where necessary for security, legal, technical or operational reasons, or where these terms are materially breached.

Users may stop using D.A.R.C.E.Y and revoke access to connected services at any time.

13. Changes to These Terms

These terms may be updated as D.A.R.C.E.Y develops, new integrations are introduced, or legal and regulatory requirements change.

The latest version will be published on this page together with the date of the most recent update.

14. Governing Law

These terms are governed by the laws of England and Wales. Any dispute arising from these terms will be subject to the jurisdiction of the courts of England and Wales.
